1. Glossary of Terms
NextGen Skills – The brand, platform, and operation owned by NEXTGEN SKILLS LLC, responsible for providing the products and services described in this document.
Student – An individual who purchases courses, training programs, certifications, or any other educational service from NextGen Skills for personal use.
Corporate Client – A legal entity that contracts NextGen Skills products or services for its employees.
Instructor – A certified professional authorized to deliver courses or training sessions on behalf of NextGen Skills.
Official Content – Educational materials provided by NextGen Skills or authorized partners, whether in digital, physical, or in-person formats.
Official Certification – A credential issued by recognized entities (such as Microsoft, Cisco, AWS, etc.) with preparatory trainings offers through NextGen Skills.
Proprietary Training – A course or learning program fully developed by the NextGen Skills team or partner instructors, not affiliated with official third-party certifications or your contents
Student Portal – Digital environment managed by NextGen Skills where students and corporate clients access learning content, activities, and resources.
Events and Practical Experiences – Activities organized by NextGen Skills aimed at applying acquired knowledge in real-world or simulated scenarios.
Personal Data – Information relating to an identified or identifiable individual, collected to enable the provision of services.
License of Use – A limited, non-exclusive permission to access and use NextGen Skills content in accordance with these Terms of Service.
Learning Path – A structured sequence of courses, training sessions, or certifications designed to develop a specific skill set.
Subscription Plan – A recurring payment model granting access to a defined set of NextGen Skills products or services during a specified period.
Microsoft® – Microsoft is a registered trademark of Microsoft Corporation in the United States and/or other countries. All references to Microsoft products, services, or trademarks in this document are for identification purposes only and remain the property of Microsoft Corporation.
Microsoft Official Course (MOC) – Training programs or learning paths delivered by official Microsoft Learning Partners, using Microsoft-authorized materials and recognized directly by Microsoft.
Microsoft Certified Trainer (MCT) – A professional certified by Microsoft to deliver Microsoft Official Courses (MOC) and other Microsoft-authorized training programs, meeting the standards, requirements, and annual renewal criteria established by Microsoft.
Authorized Lab Hosting (ALH) – Licensed access to virtual labs hosted on platforms approved by Microsoft, provided exclusively for specific Microsoft Official Courses (MOC) or other eligible Microsoft training programs, enabling hands-on practice in a controlled learning environment.
Store – The official NextGen Skills online store (marketplace) through which individuals and corporate clients can purchase registrations for specific training programs, courses, certifications, or other eligible services offered by NextGen Skills and its authorized partners.
Recorded Course/On-Demand Course – A pre-recorded training program available on-demand through the NextGen Skills Student Portal, allowing students to learn at their own pace and on their own schedule.
Online (Live) Course – A synchronous training session delivered in real-time via digital conferencing tools, where students can interact with instructors and peers during scheduled class times.
In-Person Course – A traditional classroom-based training conducted at a physical location, enabling face-to-face interaction between instructors and students.
2. General Clauses (applicable to all users)
2.1 Acceptance of Terms
By accessing, purchasing, or using any product or service provided by NextGen Skills, whether through the Store, the Online Platform, or in-person events, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service and all applicable policies referenced herein. If you do not agree to these Terms, you must refrain from using our services.
2.2 Changes to Terms
NextGen Skills reserves the right to update or modify these Terms of Service at any time. Any changes will be communicated through official channels, including but not limited to email notifications, platform announcements, or updates on our website. Continued use of our services after such changes constitutes acceptance of the revised Terms.
2.3 Account Registration and Access
To access certain services, users must create an account with accurate, complete, and up-to-date information. Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities performed under their account. Any unauthorized use must be reported immediately to NextGen Skills.
2.4 Intellectual Property
All content, trademarks, logos, course materials, and other intellectual property provided by NextGen Skills or its authorized partners are protected under applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable License of Use solely for personal or corporate training purposes, as permitted under these Terms. Unauthorized reproduction, distribution, modification, or commercial exploitation of our content is strictly prohibited.
2.5 Privacy and Data Protection
NextGen Skills is committed to protecting your personal data and privacy. The collection, processing, and storage of personal information are governed by our dedicated Privacy Policy, which details your rights and how we manage your data. By using our services, you agree to the terms outlined in the Privacy Policy.
2.6 Limitation of Liability
To the fullest extent permitted by law, NextGen Skills shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services, including but not limited to loss of data, loss of business opportunities, or service interruptions.
2.7 Use of Third-Party Services
Certain services may involve the use of third-party platforms, tools, or content, including but not limited to Microsoft® services, Authorized Lab Hosting (ALH) environments, or marketplace partner offerings. Use of such services may be subject to additional terms and conditions imposed by the respective third parties.
2.8 Communications
Users agree to receive transactional communications from NextGen Skills, including but not limited to purchase confirmations, course access notifications, and service updates, via email or other designated channels. Marketing communications will only be sent with the user’s prior consent and can be unsubscribed from at any time.
2.9 Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall first be attempted to be resolved amicably through negotiation. If the dispute cannot be resolved amicably within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with the arbitration conducted in Wilmington, Delaware, USA.
3. Specific Clauses by Client Type
A. For Individual Students
3.A.1 Purchase and Payment Terms
Individuals purchasing courses, training programs, or other services through the NextGen Skills Store or platform agree to pay the full price indicated at the time of purchase. Payment methods accepted are detailed on the Store and may include credit/debit cards, digital wallets, and other authorized means. Access to the purchased product is granted only after successful payment clearance.
3.A.2 Course Access and Duration
Upon successful purchase, students will receive access to the course or training materials according to the access period specified in the product description:

Recorded Courses provide access for a period of one (1) year from the date of purchase.

Online (Live) Courses are typically recorded and made available to students for a period of thirty (30) days following the live session.

Access to third-party materials, including labs or other resources, may be subject to different availability policies as determined by the respective third-party providers.
Extensions or renewals of access periods are subject to NextGen Skills’ policies and may require additional payment.
3.A.3 Refund and Cancellation Policy
Students may request refunds or cancellations according to the following terms:

Recorded Courses: Refund requests must be made within seven (7) days from the date of purchase. After this period, no refunds will be granted.

In-Person and Online (Live) Courses: Students may cancel their enrollment up to seven (7) days before the first scheduled class without penalty.

If cancellation is requested less than seven (7) days before the start date, a cancellation fee equal to fifty percent (50%) of the total amount paid will apply. The remaining balance will be refunded to the student within thirty (30) days of the cancellation request.
NextGen Skills reserves the right to deny refund requests in cases of abuse or violation of these Terms of Service.
3.A.4 Permitted Use of Content
Purchased course content is licensed solely for personal, non-commercial use by the individual student. Redistribution, sharing, reproduction, or public display of the content without prior written consent from NextGen Skills is prohibited.
3.A.5 Code of Conduct
Students agree to behave respectfully and professionally during all NextGen Skills activities, including online forums, live sessions, and in-person events. Harassment, discrimination, disruptive behavior, or violation of any applicable law will result in immediate suspension or termination of access without refund.
3.A.6 Certificate Issuance
Certificates or proof of completion will be issued according to the criteria specified in each course or program. Students must meet all attendance, assessment, and participation requirements to qualify. Certificates are digital and non-transferable.
B. For Corporate Clients
3.B.1 Corporate Agreement Structure
Corporate clients shall enter into a formal agreement with NextGen Skills outlining the scope of products and services, pricing, payment terms, and duration. Such agreements may include provisions for bulk purchases, custom training solutions, and dedicated support.
3.B.2 Invoicing and Payment Terms
Invoices will be issued according to the agreed billing cycle specified in the corporate agreement. Payments must be made within the stipulated terms. Late payments may incur interest or suspension of services until settled.
3.B.3 Multiple License and Seat Packages
Corporate clients may purchase licenses or seats in bulk for their employees. Usage, access, and transferability of these licenses are subject to the terms established in the corporate agreement and these Terms of Service.
3.B.4 Obligations of the Contracting Company
Corporate clients agree to provide accurate employee information, ensure compliance with usage guidelines, and cooperate in feedback and evaluation processes as part of the service delivery.
3.B.5 Confidentiality and Intellectual Property
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the agreement. Intellectual property rights of NextGen Skills and its partners remain protected, and corporate clients shall not distribute or reproduce content outside the agreed scope.
3.B.6 Service Level Agreement (SLA)
Where applicable, NextGen Skills will provide a Service Level Agreement detailing response times, support availability, and escalation procedures. Failure to meet SLA terms will be managed as per the corporate contract.
4. Customer Support, Content Updates, and Billing
4.1 Customer Support Channels
NextGen Skills provides customer support through multiple channels to assist users with their inquiries, technical issues, and service requests. Support can be accessed via:

Response times vary depending on the channel and client type, with priority given to corporate clients and urgent technical issues.
4.2 Course Materials and Content Updates
NextGen Skills strives to keep course content and materials up-to-date to ensure relevance and quality. Updates may include:

Revision of course modules to reflect changes in technology, industry standards, or certification requirements

Addition of new materials or labs to enhance learning experiences

Correction of errors or improvements based on user feedback
Students enrolled in subscription plans or active courses will generally receive access to updated materials at no additional cost. However, substantial upgrades or entirely new course versions may require separate enrollment or payment.
4.3 Billing and Taxes
Invoices for purchases made through the NextGen Skills Store or via corporate agreements will include applicable taxes according to the purchaser’s location and local regulations.

For customers located in the European Union, Value Added Tax (VAT) or equivalent local consumption taxes will be applied in compliance with EU tax laws.

Customers outside the EU are responsible for any local taxes, duties, or import fees that may apply.
NextGen Skills reserves the right to adjust prices and tax charges to comply with changes in legislation. Customers will be notified in advance of any significant billing changes.
